1. About us and these terms

These Terms and Conditions ("Terms") govern the purchase and use of products and services offered by Aphelion Solutions Ltd ("Aphelion Solutions", "we", "us", or "our"), a company registered in England and Wales.

By placing an order or purchasing any product or service from Aphelion Solutions, you ("the Customer", "you") confirm that you have read, understood, and agree to be bound by these Terms in full. If you do not accept these Terms, you must not proceed with a purchase.

These Terms constitute the entire agreement between you and Aphelion Solutions in relation to your purchase and supersede all prior communications, representations, or agreements.

2. Products and services

Aphelion Solutions offers the following digital products and advisory services (collectively, "Products"):

• AI Adoption Roadmap — a tailored AI adoption roadmap generated using artificial intelligence, based on information you provide via our intake form.
• AI Governance & Policy Starter Kit — a set of template governance documents generated or pre-prepared to support your organisation's AI governance framework.
• 60-Minute Change Plan Kit — a downloadable workshop facilitation kit comprising a facilitator's guide, slide deck, planning templates, and a worked case study.
• AI Change Management Plan Generator — a bespoke change management plan generated using artificial intelligence, based on information you provide via our intake form, together with the 60-Minute Change Plan Kit.
• AI Transformation Accelerator — a consulting engagement delivered by Aphelion Solutions advisors.
• Free AI Readiness Assessment — a self-assessment tool provided free of charge.

Product descriptions and features are subject to change. We reserve the right to update, amend, or discontinue any Product at any time, without liability to you, provided that any Product you have already purchased will be fulfilled as described at the time of purchase.

3. Ordering and payment

All prices are stated in pounds sterling (GBP) and are exclusive of VAT unless otherwise stated. VAT will be added where applicable at the prevailing rate.

Payment is processed securely by Stripe, a third-party payment processor. Aphelion Solutions does not store your payment card details. By proceeding to payment, you also accept Stripe's terms of service.

A contract between you and Aphelion Solutions is formed when payment is successfully processed and confirmed by Stripe. You will receive a confirmation email at the address you provide.

We reserve the right to decline an order at our discretion. If we are unable to fulfil your order, you will receive a full refund of any amounts paid.

By completing a purchase you confirm that you have read and accepted these Terms, including the AI-generated content disclaimer in Section 7.

4. Delivery and access

Digital products

Digital products (roadmaps, plans, kits, and governance documents) are delivered electronically to the email address you provide at checkout. Delivery typically occurs within minutes of payment confirmation for automated products, or within 3–5 working days for products involving consultant review.

You are responsible for providing a correct and accessible email address. Aphelion Solutions accepts no liability for non-delivery resulting from an incorrect email address or spam filtering.

Download links

Download links and access links are personal to you and must not be shared with third parties outside your organisation. We reserve the right to revoke access if links are distributed externally.

Access period

We aim to maintain access to your purchased materials indefinitely, but we do not guarantee permanent access. You are responsible for downloading and retaining your own copies of documents. Aphelion Solutions is not liable for any loss resulting from the expiry or unavailability of an access link.

5. Intellectual property and licence

All content, templates, designs, methodologies, and materials produced by Aphelion Solutions ("Materials") are protected by copyright and other intellectual property rights owned by or licensed to Aphelion Solutions.

Upon payment, we grant you a non-exclusive, non-transferable, royalty-free licence to use the Materials for your own internal business purposes. This licence permits you to:

• Adapt and edit Materials for use within your organisation;
• Share Materials internally with employees and contractors working on your behalf.

You may not:

• Resell, sublicence, or redistribute the Materials to third parties;
• Use the Materials to develop a competing product or service;
• Remove or obscure any Aphelion Solutions branding or copyright notices (except where templates are intended to be rebranded for internal use).

The AI-generated content within your Materials (roadmaps, plans, governance documents) belongs to you once delivered and payment is received, subject to the licence restrictions above.

6. Acceptable use

You agree to use Aphelion Solutions' Products and website lawfully and in good faith. You must not:

• Provide false or misleading information in any intake form or purchase process;
• Attempt to circumvent any security measure, access control, or payment mechanism;
• Use automated systems to scrape, copy, or reproduce Materials;
• Use any Product in a manner that violates applicable law or regulation.

We reserve the right to suspend or terminate access to any Product if we reasonably believe you are in breach of these Terms.

7. AI-generated content — disclaimer and limitation of liability

Nature of AI-generated content

Certain Aphelion Solutions Products — including the AI Adoption Roadmap, AI Change Management Plan Generator, and AI Governance & Policy Starter Kit — incorporate outputs generated by large language model (LLM) artificial intelligence systems. These outputs are produced algorithmically based on the information you supply and on patterns within the AI system's training data.

Not professional advice

All AI-generated reports, roadmaps, change management plans, governance documents, workshop materials, and associated content ("AI Outputs") are provided for planning and informational purposes only. They do not constitute:

• Legal advice;
• Financial, investment, or accounting advice;
• Regulatory or compliance advice;
• HR or employment law advice;
• Technical or engineering recommendations;
• Medical or health and safety advice; or
• Any other form of professional advice regulated by a professional body.

If you require professional advice in any of these areas, you must seek guidance from an appropriately qualified and regulated professional.

No warranty as to accuracy or fitness

AI Outputs are generated based on the information you provide and the general capabilities of the underlying AI model. Aphelion Solutions makes no representation or warranty — express or implied — that AI Outputs will be:

• Accurate, complete, or up to date;
• Free from errors, hallucinations, or misleading statements;
• Fit for any particular purpose;
• Appropriate for your specific industry, jurisdiction, regulatory environment, or organisational context; or
• Compliant with any applicable law, standard, or regulation.

Customer responsibility to validate

You accept sole responsibility for reviewing, validating, and satisfying yourself as to the suitability of any AI Output before relying on it or acting upon it. You must apply your own professional judgement and, where appropriate, seek independent expert verification before implementing any recommendation, strategy, policy, or plan derived from an AI Output.

No liability for AI Outputs

Aphelion Solutions expressly excludes all liability — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — arising from or in connection with:

• Any decision made, action taken, or action omitted in reliance on an AI Output;
• Any error, inaccuracy, omission, or hallucination in an AI Output;
• Any loss of profit, revenue, data, goodwill, business, or opportunity arising from the use of an AI Output;
• Any regulatory, legal, or compliance failure arising from implementing recommendations contained in an AI Output;
• Any claim by an employee, contractor, customer, or third party arising from actions taken in reliance on an AI Output;
• The failure of any workshop, organisational change initiative, technology deployment, or strategic programme that was informed by an AI Output.

Workshop materials

The 60-Minute Change Plan Kit, workshop slide decks, planning templates, and facilitator guides are provided as facilitation aids only. Aphelion Solutions accepts no liability for the outcomes of workshops conducted using these materials, for decisions made during or after such workshops, or for any loss arising from following the facilitation guidance.

Acknowledgement

By purchasing any Product containing AI-generated content, you acknowledge that you have read and understood this section and that you accept the risks inherent in AI-generated outputs as described above.

8. Limitation of liability (general)

To the fullest extent permitted by law, Aphelion Solutions' total liability to you in connection with any Product or these Terms — whether in contract, tort, breach of statutory duty, or otherwise — shall not exceed the amount you paid for the specific Product giving rise to the claim.

Nothing in these Terms excludes or limits liability for:

• Death or personal injury caused by our negligence;
• Fraud or fraudulent misrepresentation; or
• Any other liability that cannot lawfully be excluded or limited.

We are not liable for any indirect, consequential, special, or punitive loss or damage, or for any loss of profits, revenue, contracts, data, goodwill, or business opportunity, whether or not foreseeable.

9. Refunds and cancellations

Digital products

Because our digital Products are delivered electronically and access is provided immediately upon payment, you acknowledge that delivery begins immediately and you waive any right of withdrawal under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 that would otherwise apply to distance contracts.

This does not affect your statutory rights where a Product is materially defective or not as described.

Our discretion

We may issue refunds or partial refunds at our sole discretion where we consider it fair and reasonable to do so, such as where a technical failure prevents delivery. Requests should be directed to ukenquiry@aphelionsolutions.com.

AI Transformation Accelerator

Cancellation and refund terms for the AI Transformation Accelerator consulting engagement are set out in a separate Statement of Work agreed with you prior to commencement.

10. Data protection and privacy

Aphelion Solutions processes your personal data in accordance with our Privacy Policy and applicable data protection law, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

By purchasing a Product, you consent to us processing the information you provide (including your name, email address, organisation, and intake form responses) for the purposes of delivering your Product, communicating with you about it, and improving our services.

We use the following third-party processors to deliver our Products: Stripe (payment processing), Resend (email delivery), Anthropic (AI generation), Supabase (data storage), and Netlify (hosting). Each processor handles data in accordance with their own data processing agreements.

You may request deletion of your personal data at any time by emailing ukenquiry@aphelionsolutions.com. Note that deletion of your data may prevent us from fulfilling any outstanding obligations.

11. Governing law and disputes

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim. If you are a consumer resident in another jurisdiction within the United Kingdom, you may also have the right to bring proceedings in the courts of that jurisdiction.

12. Changes to these terms

We may update these Terms from time to time to reflect changes in our Products, applicable law, or business practices. The current version will always be available at aphelionsolutions.com/terms.

Material changes will be notified to existing customers by email where practicable. Your continued use of our Products after the effective date of a revised version constitutes your acceptance of the updated Terms.

The Terms that apply to any purchase are those in force at the date of that purchase.
